Terms & Conditions

These Terms & Conditions (“Terms”) are a binding agreement between TechTrove Software Solutions LLC (“TechTrove,” “ServIQ,” “we,” “us”) and the business or person that uses the ServIQ service (“Customer,” “you”). By creating an account, subscribing, or using the Service, you accept these Terms. If you accept on behalf of a business, you represent that you are authorized to bind it.

1. The Service

ServIQ is an AI phone receptionist for service businesses. It answers inbound calls, captures caller requests and leads, books appointments, and notifies you, using an AI assistant that records and transcribes calls. Features may change, improve, or be discontinued over time.

2. Eligibility & accounts

You must be 18+ and use the Service for business purposes. You are responsible for the accuracy of the information you provide, for keeping your credentials secure (including multi-factor authentication), and for all activity under your account.

The Service records and transcribes calls on your behalf, and the AI assistant discloses at the start of each call that it is an AI and that the call is recorded. You are responsible for ensuring that recording and transcribing your calls is lawful, including obtaining any consent required by the laws of the states where your callers are located (several states require all-party consent). You agree to keep the AI’s opening disclosure enabled, not to configure the Service to deceive callers about its AI nature, and to comply with all laws applicable to your calls and callers. We provide the technical disclosure on every call; you remain the party responsible for the lawfulness of recording your calls.

6. Acceptable use

You agree not to use the Service to: violate any law (including telemarketing, robocalling, and consumer-protection laws); send spam or harassing messages; impersonate others; infringe intellectual property; or interfere with, reverse-engineer, overload, or attempt unauthorized access to the Service. 7. Customer responsibilities

You are responsible for your use of the Service and for your callers and end users, including: the lawfulness of recording and contacting them; the accuracy of business, appointment, and contact information; any required disclosure that an AI assistant is being used; and complying with privacy and consumer-protection laws applicable to your business.

8. Intellectual property

We own the Service and all related software and content. We grant you a limited, non-exclusive, non-transferable right to use the Service during your subscription. You retain ownership of your data; if you give us feedback, you grant us a license to use it to improve the Service.

9. Your data & data processing

As between you and us, you own your account data and the caller data captured for you. For caller personal information, you are the controller and we act as your service provider/processor, processing it to provide the Service and as described in our Privacy Policy and Data Processing Agreement. We use subprocessors (e.g., Twilio, OpenAI, Stripe, Supabase, Vercel, Render) under contracts that protect the data. Call recordings, transcripts, and AI summaries are automatically deleted 30 days after each call. On termination, you may export your data and we will delete or de-identify it per our retention practices.

10. Third-party services

The Service relies on third parties (telephony, AI, payments, hosting). We are not responsible for their acts, outages, or services, and your use may be subject to their terms.

11. AI output — no warranty

The Service uses AI. AI-generated responses, transcripts, and summaries may contain errors, omissions, or “hallucinations” and are provided for convenience only. Do not rely on them for critical decisions without independent verification. We do not warrant the accuracy or completeness of AI output.

12. Disclaimers

The Service is provided “AS IS” and “AS AVAILABLE” without warranties of any kind, express or implied, including merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Service will be uninterrupted, secure, or error-free.

13. Limitation of liability

To the maximum extent permitted by law, we will not be liable for indirect, incidental, special, consequential, or punitive damages, or for lost profits or data. Our total liability arising out of or relating to the Service will not exceed the amounts you paid us in the 12 months before the event giving rise to the claim.

14. Indemnification

You will indemnify and hold us harmless from claims, damages, and expenses (including reasonable attorneys’ fees) arising from your use of the Service, your callers or end users, your failure to obtain required call-recording or contact consent, or your violation of these Terms or applicable law.

15. Term & termination

These Terms apply while you use the Service. You may stop using and cancel at any time. We may suspend or terminate the Service for non-payment, violation of these Terms, or as required by law. Provisions that by their nature should survive termination (e.g., payment, IP, disclaimers, liability, indemnity) will survive.

16. Dispute resolution & arbitration

Most disputes can be resolved informally — contact us first. To the extent permitted by law, any dispute not resolved informally will be settled by binding individual arbitration, and you and we waive the right to a jury trial and to participate in a class action. Either party may bring qualifying claims in small claims court. (This section is a placeholder pending counsel review and may be revised.)

17. Governing law

These Terms are governed by the laws of the State of North Carolina, without regard to conflict-of-laws rules. Venue lies in the state and federal courts located in North Carolina, except where arbitration applies.

18. Changes to these Terms

We may update these Terms. We will post the updated version with a new date and, for material changes to billing or auto-renewal, obtain any consent required by law. Continued use after an update means you accept the revised Terms.
